Terms of Service

These Terms govern all projects and services provided by Ottegi. Please read them carefully before engaging with us. By proceeding with any project or service, you agree to these Terms.

1. Acceptance of Terms

By engaging Ottegi for any service—website design, website development, app development, or website hosting—you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, do not proceed with a project or purchase. These Terms constitute the entire agreement between you ("Client") and Ottegi LLC ("Ottegi," "we," "us," or "our") unless a separate written agreement has been signed by both parties.

2. Services

Ottegi provides the following services: • Website Design – Custom visual design including layout, typography, color systems, and UI components. • Website Development – Front-end and back-end development, CMS integration, and third-party API connections. • App Development – Custom web and mobile application design and development. • Website Hosting – Managed hosting, domain configuration, SSL, and uptime monitoring. The specific deliverables, timeline, and cost for each engagement are defined in a separate project proposal or statement of work ("SOW") provided to the Client prior to project commencement.

3. Payment Terms

A non-refundable deposit (typically 50% of the total project cost) is required before work begins unless otherwise stated in the SOW. The remaining balance is due upon project completion and before final delivery or launch. For monthly services (hosting, maintenance), payment is due on the first of each billing cycle. Ottegi reserves the right to suspend services for accounts that are more than 7 days past due. All prices are in USD. Ottegi reserves the right to update pricing with 30 days' written notice to existing clients on recurring plans.

4. Project Scope & Revisions

Each project is governed by the SOW agreed upon prior to start. The SOW defines the scope of work, number of revision rounds, and timeline. Requests that fall outside the agreed scope ("out-of-scope requests") will be quoted separately and require written approval before work begins. Ottegi will make a reasonable effort to notify the Client before billing for out-of-scope work. Revision rounds are limited to the number specified in the SOW. Additional rounds beyond that limit may be billed at Ottegi's standard hourly rate.

5. Intellectual Property

Upon receipt of final payment, the Client receives full ownership of the final deliverables (design files, source code, and content created specifically for the project). Ottegi retains the right to display the completed work in its portfolio and marketing materials unless the Client requests otherwise in writing. Third-party assets (stock images, fonts, plugins, or frameworks) remain subject to their respective licenses. Ottegi will disclose any such assets used and their license terms. Work product is not transferred until final payment is received in full.

6. Client Responsibilities

The Client agrees to: • Provide all necessary content, assets, credentials, and feedback in a timely manner. • Designate a point of contact authorized to make decisions on behalf of the Client. • Respond to requests for feedback or approvals within 5 business days. Delays caused by the Client may result in timeline adjustments. • Ensure all content provided to Ottegi is owned by the Client or properly licensed for use. Ottegi is not liable for delays or deficiencies caused by the Client's failure to meet these responsibilities.

7. Hosting & Uptime

Ottegi targets a 99.9% uptime for all managed hosting plans. Scheduled maintenance will be communicated in advance when possible. Ottegi is not liable for downtime caused by third-party service providers, DDoS attacks, force majeure events, or actions taken by the Client. The Client is responsible for keeping login credentials secure. Ottegi should be notified immediately of any suspected unauthorized access. Ottegi reserves the right to terminate hosting for any account that hosts content that violates applicable laws or our Acceptable Use Policy.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement ("Confidential Information"). This includes business strategies, pricing, client lists, and technical specifications. Confidential Information may not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.

9. Warranty & Support

Ottegi warrants that deliverables will function as described in the SOW at the time of delivery. Any bugs or defects reported within 30 days of launch will be corrected at no additional charge, provided they are not caused by Client modifications or third-party changes. After the 30-day warranty period, support and maintenance are available through Ottegi's monthly service plans. Ottegi does not warrant that websites or applications will be free from all security vulnerabilities or that they will meet every future browser or device standard.

10. Limitation of Liability

To the maximum extent permitted by law, Ottegi's total liability to the Client for any claim arising out of or related to these Terms or the services provided shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim. In no event shall Ottegi be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, data loss, or business interruption, even if Ottegi has been advised of the possibility of such damages.

11. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination: • The Client owes payment for all work completed up to the termination date, pro-rated from the deposit and any milestone payments. • Ottegi will deliver all completed work product for which full payment has been received. • Work not yet paid for remains the property of Ottegi. Ottegi may terminate immediately and without notice for non-payment beyond 30 days, breach of these Terms, or any illegal activity.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Dallas County, Texas. Both parties agree to attempt to resolve disputes informally before pursuing formal legal action.

13. Changes to These Terms

Ottegi reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. For clients on active recurring plans, Ottegi will provide 30 days' notice of material changes via email. Continued use of Ottegi's services after changes take effect constitutes acceptance of the revised Terms.
